Clawland Contributor License Agreement (CLA)

Version 1.0 — Effective February 13, 2026

Purpose

This Contributor License Agreement ("Agreement") defines the terms under which You contribute to projects owned by the Clawland organization ("Clawland", "We", "Us"). This CLA protects You, Clawland, and users of Clawland projects.

By submitting a Pull Request to any Clawland repository, You agree to the terms of this Agreement.

1. Definitions

  • "You" (or "Contributor"): The individual or legal entity submitting a Contribution.
  • "Contribution": Any original work of authorship, including modifications or additions, submitted to a Clawland project via Pull Request, patch, or other mechanism.
  • "Project": Any repository under the github.com/Clawland-AI organization.

2. Grant of License

2.1 Copyright License

You grant to Clawland a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to:

  • Reproduce, prepare derivative works of, publicly display, publicly perform, and distribute Your Contributions and derivative works
  • Sub-license the above rights to third parties

2.2 Patent License

You grant to Clawland a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, use, sell, and distribute Your Contributions, where such license applies only to patent claims licensable by You that are necessarily infringed by Your Contribution.

2.3 Moral Rights

To the extent permitted by applicable law, You waive or agree not to assert any moral rights in Your Contributions.

3. Ownership

You retain ownership of the copyright in Your Contributions. This Agreement does not transfer copyright or any other intellectual property rights to Clawland. You are granting a license, not an assignment.

4. Revenue Share Commitment

In consideration of Your Contributions, Clawland commits to:

  • Maintain a Contributor Revenue Pool funded by 20% of net product revenue
  • Distribute this Pool quarterly to eligible contributors based on a transparent points system
  • Publish quarterly financial transparency reports
  • Operate the Pool according to the rules defined in CONTRIBUTOR-REVENUE-SHARE.md

The revenue share terms may only be modified through the governance process defined in GOVERNANCE.md.

5. Representations

You represent that:

  1. Each Contribution is Your original creation, or You have sufficient rights to grant the licenses above.
  2. Your Contribution does not violate any third-party rights (copyright, patent, trade secret, or other).
  3. If Your employer has rights to intellectual property You create, You have received permission to make Contributions, or Your employer has waived such rights.
  4. You are legally entitled to grant the licenses in this Agreement.

6. No Obligation

Nothing in this Agreement obligates Clawland to:

  • Accept or merge any Contribution
  • Include any Contribution in a release
  • Provide support for any Contribution

7. Code of Conduct

All Contributors agree to abide by the Code of Conduct when participating in any Clawland project or community space.

8. Governing Law

This Agreement is governed by the laws of the jurisdiction in which Clawland is incorporated, without regard to conflict of law principles.

9. Signing

This CLA is signed electronically. By opening a Pull Request against any Clawland repository, You indicate Your acceptance of this Agreement. The CLA Assistant bot will record Your acceptance.

If You are contributing on behalf of a legal entity, the person signing must have the authority to bind that entity.
